Terms of Service

1. The Service

Lorrano provides an automated video generation and social posting platform for auto dealerships. The Service includes:

• Connecting to your existing vehicle inventory feeds
• AI-powered photo scoring and selection
• Automated video generation for each vehicle
• Posting videos to connected social media platforms
• A web dashboard for managing videos, feeds, and settings

The Service is provided "as available." We continuously improve it, which means features may change, be added, or occasionally be removed. We'll give you reasonable notice before removing a feature you actively use.

2. Accounts

2.1 Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

If you suspect unauthorized access to your account, notify us immediately at [email protected].

2.2 Eligibility

The Service is intended for businesses, specifically auto dealerships and dealer groups. You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service.

2.3 One Account Per Dealership

Each dealership location should be managed under one account (or one dealer group account covering multiple rooftops). Creating multiple accounts to circumvent plan limits is a violation of these Terms.

3. Your Content

3.1 Ownership

You retain ownership of all content you provide to the Service, including your vehicle photos, dealership branding, logos, and inventory data ("Your Content"). Lorrano does not claim ownership of Your Content.

3.2 License to Us

By using the Service, you grant Lorrano a non-exclusive, worldwide, royalty-free license to use, process, store, and display Your Content solely for the purpose of operating the Service. This includes:

• Accessing your inventory feed photos to generate videos
• Displaying your dealership logo and branding on generated videos
• Posting videos to your connected social media accounts on your behalf
• Storing generated videos on our servers for up to 90 days

This license terminates when you delete your account, except as needed to complete any pending video generation or posting already in progress.

3.3 Your Responsibilities

You represent and warrant that:

• You have the right to use all photos in your inventory feed for video generation and social posting.
• Your dealership branding (logo, name, tagline) does not infringe any third party's intellectual property.
• Your inventory data is accurate and you have the right to publish it.
• You have authorized Lorrano to post to each connected social media account.

If a third party claims that Your Content infringes their rights, you are responsible for resolving that claim and will indemnify Lorrano against any resulting costs or damages.

4. Generated Videos

4.1 Ownership of Generated Videos

Videos generated by the Service from Your Content belong to you. You may use, distribute, modify, and publish generated videos without restriction, including for commercial purposes.

4.2 AI-Generated Components

Generated videos may include AI-composed music, transitions, text overlays, and formatting. These AI-generated components are created specifically for your video and are licensed to you as part of the generated output. You do not need to credit Lorrano or obtain additional licenses to use these components.

4.3 No Guarantee of Uniqueness

While AI-generated music and visual treatments are created per-video, we do not guarantee that any AI-generated element is completely unique. Similar musical phrases, transition styles, or text formatting may appear across different dealers' videos.

4.4 Retention

Generated videos are stored on our servers for 90 days after creation. After 90 days, they are permanently deleted unless you have downloaded them or connected external storage. It is your responsibility to download or back up any videos you wish to keep beyond 90 days.

5. Pricing and Payment

5.1 Plans

The Service is offered under subscription plans as described on our Pricing page. Plan details, including vehicle limits, location limits, and included features, are part of these Terms.

5.2 Billing

Monthly plans are billed at the beginning of each monthly billing cycle. Annual plans are billed at the beginning of the 12-month period. All fees are in US dollars and are non-refundable except as stated in Section 5.5.

5.3 Free Trial

New accounts include a free trial period with up to 30 generated videos. No credit card is required for the trial. At the end of the trial, you must select a paid plan to continue using the Service. If you don't, your account becomes read-only. You can still download previously generated videos but cannot generate new ones.

5.4 Price Changes

We may change our pricing with at least 30 days' notice. Price changes take effect at the start of your next billing cycle after the notice period. If you don't agree with a price change, you may cancel before it takes effect.

5.5 Refunds

Monthly plans: no refunds for partial months. You may cancel at any time, effective at the end of the current billing period.

Annual plans: if you cancel within the first 30 days, we will refund the unused portion on a pro-rata basis. After 30 days, no refunds are issued for the remainder of the annual term.

5.6 Failed Payments

If a payment fails, we will retry up to 3 times over 10 days. If all retries fail, we will notify you and suspend video generation and posting. Your account data is retained for 30 days after suspension to allow for payment resolution. After 30 days, we may delete your account.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload content that is defamatory, obscene, or infringes third-party rights
• Attempt to reverse engineer, decompile, or disassemble the Service
• Use the Service to generate videos for vehicles you do not own or are not authorized to sell
• Circumvent usage limits through technical means (multiple accounts, API abuse, etc.)
• Resell, sublicense, or white-label the Service without a written Enterprise agreement
• Interfere with or disrupt the Service or its infrastructure
• Scrape, crawl, or systematically extract data from the Service (outside of authorized API usage)

We reserve the right to suspend or terminate accounts that violate these terms, with notice when practical.

7. Intellectual Property

7.1 Our IP

The Service, including its code, design, algorithms, AI models, documentation, and brand, is owned by Lorrano, Inc. and is protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the right to use the Service as described here.

7.2 Feedback

If you send us suggestions, ideas, or feedback about the Service, we may use them without restriction or compensation. Don't send us confidential ideas you aren't comfortable with us potentially implementing.

8. Third-Party Services

The Service integrates with third-party platforms (Meta, TikTok, Google, inventory feed providers). Your use of those platforms is governed by their respective terms. We are not responsible for:

• Changes to third-party APIs that affect posting or feed sync
• Outages or rate limits imposed by third-party platforms
• Content moderation actions taken by social platforms on posted videos
• Changes to third-party terms that restrict automated posting

We will make reasonable efforts to adapt to third-party changes promptly, but we cannot guarantee uninterrupted integration.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Generated videos will be free of defects
• AI-generated music will be suitable for all jurisdictions
• Social platform posting will succeed 100% of the time
• Photo scoring will always select the optimal images

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LORRANO'S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO LORRANO IN THE 12 MONTHS PRECEDING THE CLAIM.

LORRANO SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE
• DAMAGES ARISING FROM THIRD-PARTY ACTIONS (INCLUDING SOCIAL PLATFORM DECISIONS)

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if Lorrano has been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless Lorrano, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Your use of the Service
• Your Content or your breach of these Terms
• Your violation of any third party's rights
• Your violation of applicable law

12. Term and Termination

12.1 Term

These Terms are effective when you create an account and continue until your account is terminated.

12.2 Cancellation by You

You may cancel your account at any time from the dashboard or by emailing [email protected]. Cancellation is effective at the end of your current billing period.

12.3 Termination by Us

We may suspend or terminate your account if you violate these Terms, fail to pay fees after notice, or if required by law. We will provide notice when practical.

12.4 Effect of Termination

Upon termination:

• Your access to the dashboard is revoked
• Video generation and posting stops immediately
• You have 30 days to download any generated videos
• After 30 days, all account data is deleted (except as required for legal compliance)
• Social media connections are disconnected (previously posted videos remain on the platforms)

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions.

13.2 Arbitration

Any dispute arising from these Terms or the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association. Arbitration will be conducted in English, and the arbitrator's decision will be final and binding.

13.3 Class Action Waiver

You agree to resolve disputes with Lorrano on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding.

13.4 Exceptions

Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction for intellectual property disputes or to prevent imminent harm.

14. General

• Entire Agreement. These Terms, together with our Privacy Policy and any applicable plan terms, constitute the entire agreement between you and Lorrano.
• Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver. Our failure to enforce any right under these Terms is not a waiver of that right.
• Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Notices. We will send notices to the email address on your account. You are responsible for keeping it current.
• Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, pandemics, government actions, internet outages, third-party service failures).

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes:

• We will update the "Last Updated" date at the top.
• We will email the account owner at least 14 days before the changes take effect.
• Continued use of the Service after the effective date constitutes acceptance.

If you disagree with the changes, you may cancel your account before the effective date.
